These Terms & Conditions (“Terms”) govern your access to and use of the RYDR platform. By creating an account, accessing, or using the Services, you agree to these Terms in full.

 

 


1. Definitions

  • “Company” or “RYDR” refers to RYDR, the platform provider.

  • “Services” mean the technology platform, apps, websites, content, and features that enable users to request and schedule passenger transport, delivery, logistics, and related services with independent providers.

  • “Passenger Transport” means rides provided only by licensed taxi, PSV, PPV, or Hire drivers through RYDR.

  • “Delivery Services” means food, grocery, parcel, and courier deliveries provided by registered drivers.

  • “Third Party Providers” means independent contractors (licensed drivers and delivery partners).

  • “Users” means anyone accessing the Services (riders, customers, or drivers).

  • “Territory” means Barbados initially and includes all regions where RYDR expands.

  • “Charges” means amounts payable for services, including fares, fees, tolls, surcharges, cancellation fees, and taxes.

  • “Account” means the personal user or driver account required to access the Services.


2. Nature of Services

  • Platform Provider Only: RYDR provides technology and acts solely as an intermediary. It does not provide transportation, delivery, or logistics itself and does not own vehicles or employ drivers.

  • Independent Providers: Passenger rides are provided only by licensed taxi/PSV drivers; deliveries may be provided by drivers with valid vehicles.

  • Regional Compliance: In each Territory, drivers must comply with local licensing, permit, and insurance requirements. RYDR assumes no responsibility for driver compliance.

  • No Guarantee: RYDR does not guarantee continuous availability, uninterrupted use, or specific service quality.

 

3. Accounts & Registration

  • Users must create and maintain one account. Accounts are non-transferable.

  • Must be 18 years or older (or legal minimum in Territory).

  • Must provide accurate, complete, and updated information.

  • Responsible for maintaining account confidentiality.

  • Fraudulent or duplicate accounts may be suspended or terminated.

 

4. Rider & Customer Obligations

  • Use Services lawfully and responsibly.

  • Treat Drivers respectfully; harassment, abuse, intoxication, discrimination, or unsafe conduct is prohibited.

  • Pay all Charges promptly.

  • Responsible for repair/cleaning costs for damage caused.

  • Ensure minors are accompanied by a responsible adult.

 

5. Driver & Delivery Partner Obligations

Drivers are independent contractors and not employees, agents, or representatives of RYDR.

 

A. Passenger Drivers

  • Must hold valid driver’s licence.

  • Must hold valid taxi/PSV/PPV permit or badge.

  • Must use vehicles registered for hire (PSV/H plates).

  • Must maintain commercial passenger insurance.

B. Delivery Partners

  • Must hold valid driver’s licence.

  • Must provide valid vehicle registration.

  • Must maintain insurance covering delivery/courier use where required.

C. General Driver Rules

  • Must keep all licences, permits, and insurance valid and current.

  • Must ensure vehicles are roadworthy, clean, and safe.

  • Must not subcontract or permit unregistered drivers to operate under their account.

  • Must comply with all background checks and verification requirements.

  • Responsible for their own taxes, fees, and statutory obligations.

 

6. Independent Contractor Acknowledgement

  • Drivers acknowledge they are independent contractors.

  • Nothing in these Terms creates an employment, partnership, or agency relationship with RYDR.

  • Drivers are solely responsible for their earnings, taxes, and regulatory compliance.

  • RYDR is not liable for benefits, wages, pensions, or social security contributions.

 

7. Payments & Charges

  • RYDR processes payments on behalf of Drivers.

  • Service fees are deducted before remittance to Drivers.

  • Charges may fluctuate (including surge pricing).

  • Cancellations may result in cancellation fees.

  • Charges are final and non-refundable except at RYDR’s discretion.

  • Tips are voluntary and paid entirely to Drivers.

  • Drivers are responsible for tax reporting and compliance.

 

8. Promotions & Marketing

  • Promo codes may be issued by RYDR and are non-transferable, non-cash redeemable, and may be revoked at any time.

  • Misuse, resale, duplication, or fraud involving promo codes may result in suspension or legal action.

  • Users consent to receiving service, safety, and marketing communications.

 

9. User Content & Feedback

  • Users may submit reviews, ratings, and feedback.

  • By submitting, Users grant RYDR a perpetual, royalty-free, worldwide licence to use, display, and distribute such content.

  • Content must not infringe intellectual property, privacy, or applicable laws.

  • RYDR may remove unlawful or offensive content.

 

10. Privacy & Data Protection

  • Use of personal data is governed by RYDR’s Privacy Policy.

  • RYDR may collect GPS, contact, payment, and verification data.

  • RYDR may share data with drivers, insurers, regulators, payment processors, or law enforcement as necessary.

 

11. Insurance & Liability

  • Drivers are solely responsible for carrying valid insurance (passenger, commercial, delivery, or courier as applicable).

  • RYDR does not provide insurance coverage for vehicles, drivers, riders, or deliveries.

  • Riders acknowledge they are covered only under the driver’s insurance.

  • RYDR is not liable for accidents, theft, damages, delays, or losses incurred during Services.

 

12. Safety Features & Conduct

  • RYDR may provide safety tools (panic buttons, share-ride, incident reporting).

  • Users and Drivers must not:

    • Use Services while intoxicated or impaired.

    • Carry illegal items, weapons, or hazardous goods.

    • Engage in discriminatory, violent, or abusive conduct.

  • RYDR may suspend accounts immediately for safety violations.

 

13. Refunds & Disputes

  • Charges are generally non-refundable.

  • Refunds may be issued for duplicate charges, verified billing errors, or documented no-service situations.

  • Users must submit disputes through in-app support within 7 days of service.

  • RYDR’s decision is final.

 

14. Driver Deactivation Policy

Drivers may be suspended or terminated for:

  • Expired or falsified documentation.

  • Unsafe, illegal, or abusive conduct.

  • Poor ratings or repeated complaints.

  • Fraudulent activity, payment manipulation, or misuse of the platform.

  • Soliciting passengers outside the RYDR app.

  • Failure to comply with these Terms.

 

15. Intellectual Property

  • All rights, titles, and interests in the RYDR platform, trademarks, branding, logos, and content belong to RYDR.

  • Users may not copy, modify, reverse engineer, or exploit the platform without written consent.

  • Unauthorized use of RYDR’s intellectual property is strictly prohibited.

 

16. Force Majeure

  • RYDR is not liable for delays or failures caused by events beyond its control, including natural disasters, strikes, civil unrest, government actions, internet outages, or system failures.

 

17. Disclaimers

  • Services are provided “as is” and “as available.”

  • RYDR makes no warranty as to reliability, timeliness, availability, or quality.

  • RYDR does not guarantee driver licensing, insurance, or compliance beyond uploaded documents.

 

18. Limitation of Liability

To the maximum extent permitted by law:

  • RYDR is not liable for indirect, incidental, special, or consequential damages.

  • RYDR is not liable for disputes between Users and Drivers.

  • RYDR’s total liability shall not exceed the Charges paid for the disputed service.

 

19. Indemnification

Users and Drivers agree to indemnify and hold harmless RYDR, its affiliates, officers, employees, and partners from claims, liabilities, damages, and expenses arising from:

  • Breach of these Terms.

  • Use of Services.

  • Misrepresentation of compliance, licences, or insurance.

  • Violation of rights of any third party.

 

20. Termination & Suspension

  • RYDR may suspend or terminate accounts at any time for fraud, violations, or safety concerns.

  • Users may close accounts at any time but remain liable for outstanding Charges.

  • Termination does not release obligations accrued prior to closure.

 

21. Dispute Resolution

  • Disputes shall be resolved through binding arbitration under the Arbitration Act of Barbados (or equivalent in each Territory).

  • Arbitration will be individual; class actions and representative claims are waived.

  • Venue shall be Barbados unless otherwise required by law.

  • Language of arbitration shall be English.

 

22. Governing Law

  • These Terms are governed by the laws of Barbados unless local law requires otherwise.

  • In new Territories, local laws and regulatory requirements may apply.

 

23. Miscellaneous

  • Assignment: Users may not assign rights under these Terms; RYDR may assign freely.

  • No Employment: Drivers are independent contractors; no employment relationship exists.

  • Severability: Invalid provisions do not affect the remainder.

  • Waiver: Failure to enforce does not waive rights.

  • Entire Agreement: These Terms represent the full agreement between RYDR and Users.
